Sales and delivery terms

Prices:

Unless otherwise agreed in writing, all prices are ex VAT. Price lists are only indicative and all current prices are stated in the order confirmation.​

Payment:

Unless otherwise agreed in writing, the terms of payment for customer purchases shall be 30 days net from the invoice date. Where the purchaser does not meet the payment terms, or the seller does not consider the buyer to be capable of meeting his obligations, the seller may suspend the current and any subsequent deliveries, unless the purchase price is paid in cash, or adequate security is provided. Tools are paid according to offers.

Delivery:

Unless otherwise agreed, all shipping is ex works. Unless otherwise agreed in writing, shipping is at the recipient's risk and expense. The seller reserves the right to deliver a quantity which is maximum 10 per cent more or less than the ordered quantity.

Cancellation:

Cancellation is no longer possible once the purchase or production of an order has been initiated.

Complaints:

Complaints shall be submitted in writing within 8 days of the date of delivery, indicating the invoice number, order number, drawing number, order size, number of defective units, as well as the reason for the complaint. The buyer shall otherwise forfeit any claim against the seller in respect of the sold goods. The seller may not be held liable for any costs and expenses in connection with a claim without his prior written approval.
Received items may not be returned without the seller's prior written consent.

Force majeure:

Default on shipping or delivery may not be enforced against the seller if it is directly or indirectly caused by circumstances that are beyond the seller's control such as strikes, lockouts and other forms of force majeure events.​

Damages: As regards goods which are sold after being treated or processed by parties other than the seller, the seller's warranties shall apply only to the product in its unprocessed state. The seller may be liable for the damage caused by the goods sold only if it can be proven that the damage has resulted from an error made by the seller or the seller’s staff. The seller shall, therefore, not be liable for any damage resulting from errors or omissions in drawings or instructions. Drawings and designs have been prepared in good faith, but the seller shall not be liable for any errors arising from this unless expressly stated in writing by the seller. Moreover, the seller may be liable for damage caused in connection with calculations and counselling only when such liability is directly linked to the products supplied by the seller. The seller may never be held liable for any consequential losses, loss of profits or indirect losses.​ The seller may be held liable for goods sold for a period of three months from the invoice date, provided that the goods are stored and used in a manner, which is adequate for Danish conditions.
The seller's product liability may not exceed the seller's insurance coverage.
To the extent the seller incurs liability for the use the buyer may make of the goods sold – including resale - the buyer is liable to indemnify the seller for any liability thus incurred when such liability exceeds the agreed limits. The buyer shall be sued in the same court that deals with claims against the seller in respect of the goods sold.

This document contains all terms and conditions regarding product purchases and sales. No amendment to these terms may be made without the written consent of the party obliged by such amendment. No amendment to these terms and conditions may be made through recognition or acceptance of order forms containing diverging rules.
